AI Flow Chat Affiliate Program Terms of Service

Welcome to the AI Flow Chat Affiliate Program! These terms outline the rules and guidelines for our partnership. No "gotchas" here, just clear terms to keep everyone happy and successful.

1. Introduction

This agreement ("Agreement") is between AI Flow Chat ("Company," "We," or "Us") and the affiliate partner ("Partner," "Affiliate," or "You"). AI Flow Chat is an AI workflow automation platform that allows users to create, share, and monetize sophisticated AI workflows. By signing up for the affiliate program, you agree to these terms and conditions.

2. Enrollment in the Program

To begin the enrollment process, you must complete our affiliate application. We may reject your application if we determine, at our sole discretion, that your platform, content, or promotional methods are unsuitable for the Program. Partners are permitted to have a single account and cannot have an email associated with multiple affiliate accounts.

3. Affiliate Obligations

As a member of the AI Flow Chat Affiliate Program, you agree that:

• You will use the Program in a lawful manner and comply with all applicable laws and regulations.
• You will not engage in any misleading, fraudulent, or deceptive practices.
• You will not engage in the distribution of unsolicited commercial emails (spam).
• You will not use AI Flow Chat's trademarks or other intellectual property without prior written permission, except as provided in the branding guidelines.
• You will accurately represent AI Flow Chat's services and capabilities in all promotional materials.
• You will comply with all applicable data protection and privacy laws when promoting our services.

4. Approved Promotional Methods

As an AI Flow Chat affiliate, you are authorized to promote our products through the following methods:

• Website or blog content, including reviews, tutorials, and case studies
• Social media platforms (Twitter, LinkedIn, Facebook, Instagram, TikTok, YouTube, etc.)
• Email marketing (in compliance with applicable laws and regulations)
• Webinars and online events
• Content marketing, such as articles, reviews, and tutorials
• Podcast appearances and sponsorships
• Community forums and discussion groups (where permitted)
• Social media ads on platforms like Meta, LinkedIn, Twitter, and other social networks

5. Prohibited Activities

The following activities are strictly prohibited and may result in the immediate termination of your account and forfeiture of any accrued commissions:

• Self-referrals are not allowed (i.e., signing up through your own affiliate link).
• Abuse, gaming, or attempting to mislead (i.e., posting fake discounts to coupon-sharing websites) will result in your account being permanently banned.
• No paid search engine ads on Google or Bing (especially on branded terms or domain names). Running search ads directly to your affiliate link will result in account termination.
• No pretending to be AI Flow Chat or acting on behalf of us or any variations/misspelling of our brand name (i.e., as an employee, company, or website).
• Engaging in any form of advertising that results in misleading or false representations of AI Flow Chat products.
• Offering any unauthorized third-party incentives (e.g., rebates, coupons, discounts) to induce sales without prior approval.
• Utilizing cookie stuffing, hidden iframes, or other deceptive practices to generate commissions.
• Using unauthorized methods to redirect traffic to the AI Flow Chat website.
• Trademark or copyright infringement in promotional materials.
• Promoting AI Flow Chat in adult content, illegal activities, or other inappropriate contexts.

6. Commission Structure and Payments

Commission Rates

Affiliates will earn commissions on qualified sales made through their unique affiliate links or promo codes. People coming through your affiliate link or promo code will be tracked to you using last-touch attribution with a 30-day attribution window. Our standard commission structure is 25% recurring commission for 12 months on qualifying subscriptions.

Commission Variations

While our standard commission structure is 25% for 12 months, please note that commissions may vary. Some partners may receive lower or higher commission rates, or different payout durations based on special performance-based agreements.

• Some partners may receive a lower or higher percentage commission based on special deals and/or tier level.
• Some partners may have commissions paid out for longer than 12 months.
• High-performing affiliates may qualify for bonus commission rates.

Payment Schedule

Commissions are processed on the 1st of every month for the previous month's commissions and then paid on the 15th of each month via PayPal.

Important: An earned commission payout will become eligible (due) after a 30-day provisioning window. This prevents fraud, spam, and potential chargebacks.

Payment Details

• Minimum Payout: Affiliates must reach a minimum commission balance of $50 before payment is issued. Earnings below this threshold will carry over to the next month.
• Payment Methods: Payments are sent via PayPal. You must provide valid payment details to receive commissions.
• Fees: Depending on your payment method and location, transaction fees may apply. This is considered a partner business expense.

Attribution

In some cases, we can give credit to a partner even if the customer didn't sign up through a partner link or coupon code. If you have a case like this, please contact us at alex@aiflowchat.com and we'll do our best to help attribute your referral to your account. This would be pending the customer that signed up isn't already associated with another partner. Our same 30-day attribution window would apply here.

7. Rights to Use Likeness and Content

Any content you create to promote AI Flow Chat may be used by us for marketing and advertising purposes. AI Flow Chat reserves the right to use your name, likeness, testimonials, and promotional content in any advertisements, sales materials, or promotional campaigns. Any collaborative content or promotional materials you participate in for AI Flow Chat can also be used at our discretion in marketing and advertising.

8. Confidentiality and Non-Disclosure

Partner agrees that any information regarding unreleased features, confidential business plans, or proprietary information of AI Flow Chat is considered confidential and must not be disclosed publicly or shared with third parties. This includes any future developments, product updates, pricing strategies, or marketing plans shared with you as part of the affiliate program.

9. Relationship of Parties

You and AI Flow Chat are independent contractors. Nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You have no authority to make or accept any offers or representations on our behalf. You are not authorized to enter into any agreements or make any commitments on behalf of AI Flow Chat.

10. Limitation of Liability

AI Flow Chat will not be liable for any indirect, special, incidental, punitive, or consequential damages arising in connection with this Agreement or the Program. Our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under this Agreement in the twelve (12) months preceding the claim.

11. Disclaimers

AI Flow Chat makes no express or implied warranties or representations with respect to the Program or any products sold through the Program. We make no representation that the operation of the AI Flow Chat website will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors. The affiliate program and all related services are provided "as is" without warranty of any kind.

12. Term and Termination

This Agreement will begin upon our acceptance of your Program application and will continue until terminated by either party. Either you or AI Flow Chat may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.

Upon termination, you will immediately cease all promotional activities and remove all AI Flow Chat promotional materials. Commissions earned but not yet paid at the time of termination will be paid according to the normal payment schedule, provided they were earned in compliance with these terms.

13. Modification of Agreement

We may modify any of the terms and conditions contained in this Agreement at any time at our sole discretion. Modifications may include, but are not limited to, changes in the commission structure, payment procedures, and Program rules. Any modifications will be communicated to you via email or through the affiliate portal with at least 7 days notice for material changes.

14. Compliance with Laws

You agree to comply with all applicable laws and regulations in your jurisdiction, including but not limited to:

• FTC guidelines requiring disclosure of affiliate relationships
• GDPR and other data protection regulations
• CAN-SPAM Act and other anti-spam laws
• Platform-specific terms of service for social media and advertising platforms
• Tax reporting requirements in your jurisdiction

15. Indemnification

You agree to indemnify, defend, and hold harmless AI Flow Chat, its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from your breach of this Agreement, your promotional activities, or your violation of any law or regulation.
